Premier African Minerals Shareholders Back Key Resolutions at AGM

Shareholders of Premier African Minerals Limited have approved all resolutions presented at the company’s 2026 Annual General Meeting, including the reappointment of a director and measures affecting shareholder rights.

The company confirmed that the resolutions were passed following a poll vote at the meeting held on March 4.

One of the key resolutions approved was the reappointment of Godfrey Manhambara as a director.

The proposal received 2,393,615,199 votes in favour (97.85%), while 52,621,249 votes (2.15%) were cast against.

Shareholders also approved the disapplication of pre-emptive provisions, a move that allows the company to issue new shares without first offering them to existing shareholders. The resolution attracted 2,562,199,611 votes in favour (97.92%) and 54,473,805 votes against (2.08%).

A related resolution concerning the disapplication of pre-emptive rights for Canmax conversion rights was also endorsed with 2,562,090,316 votes (97.92%) supporting the proposal and 54,473,805 votes (2.08%) opposing it.

According to the company, “the resolutions proposed to shareholders at the Company's 2026 Annual General Meeting held today were all passed.” The company also noted that “the resolutions were voted on by way of a poll, and the result of the poll is shown below.”

It further clarified the basis for the voting calculations, stating that “the ‘For’ votes include those giving the Chairman discretion. Votes ‘For’ and ‘Against’ are expressed as a percentage of votes received.”

The full text of the resolutions had previously been circulated to shareholders in the notice of the Annual General Meeting issued on February 13.

Premier African Minerals Limited operates several mineral development projects in southern Africa, including the Zulu Lithium and Tantalum Project in Zimbabwe, as well as the RHA tungsten project. The company’s portfolio includes lithium, rare earth elements, tungsten and tantalum exploration and development assets, many of which are considered near-term production opportunities.
